NGO Governance
Purpose
Never Grow Old (NGO) is a ministry of First Baptist Church of Newnan. It is a community-wide non-denominational senior citizens group. NGO will, to the best of its ability, serve the needs of senior citizens in Newnan, Georgia and Coweta County, Georgia.
Monthly Meetings
Monthly meetings shall be held on the first Thursday of each month from 11:00 AM to 1:00 PM in the Fellowship Hall at First Baptist Church of Newnan located at 15 West Washington Street, Newnan, Georgia unless otherwise noted.
Leadership Team
- The NGO checking account is a First Baptist Church of Newnan checking account requiring the Treasurer to be a member of First Baptist Church of Newnan.
- Leadership Team Members that are unable to complete a full term will be replaced by a majority vote of the Leadership Team. A Leadership Team Member elected to fill a vacancy shall be elected for the unexpired term of his or her predecessor in office.
- Each Leadership Team member will perform their duties, in good faith, in a manner to be in the best interest of NGO and with reasonable prudence.
- The Leadership Team, by majority vote may remove any Leadership Team Member at any regular or special Leadership Team meeting, provided that the Leadership Team member to be removed has been notified in writing by the Secretary two weeks in advance of the team meeting giving cause for removal. A Leadership Team Member elected to fill a vacancy shall be elected for the unexpired term of his or her predecessor in office.
- The Leadership Team will consist of up to nine (9) members:
- President
- Vice President
- Secretary
- Treasurer
- Program Director
- Membership Director
- Member At Large
- Member At Large
- Member At Large
Election and Terms of Leadership Team Members
- The initial Leadership Team has agreed to serve through December 31, 2025.
- All future Leadership Team members will be elected by a majority vote of the members of NGO on the first Thursday of November, beginning in 2025 to serve a two (2) year term beginning on January 1st.
- The Leadership Team will nominate and submit a slate of officers to the NGO membership at the October monthly meeting. The Membership Director will confirm with nominees that they are willing to serve if elected before they are placed on the ballot.
- Voting will be by paper ballot by members of NGO.
Leadership Team Meetings
- Leadership Team Meetings will be in person, by telephone, by video, or by Zoom as needed.
- A majority of the Leadership Team members constitutes a quorum for the transaction of business.
- The Leadership Team may appoint committees by a majority vote of the Leadership Team.
- Leadership Team meetings must be scheduled a minimum two (2) weeks from the written notice (Email) by the Secretary or President of a called Membership Team meeting by the President or Vice President.
Leadership Team Members
- President: The President will
- preside at all monthly membership meetings and Leadership Team meetings;
- have general supervision, direction, control, and management of NGO;
- exercise and perform such powers and duties as may be prescribed by the Leadership Team.
- Vice President: The Vice President will
- preside at any monthly membership meeting or Leadership Team meeting if the President is unable to attend;
- exercise and perform such powers and duties as may be prescribed by the Leadership Team.
- Secretary: The Secretary will
- maintain a book of minutes of all Leadership Team meetings;
- distribute a written copy of all Leadership Team meetings to members of the Leadership Team no later than seven (7) days after such meetings.
- In the event that the Secretary is unavailable, the President shall appoint an individual to act as Secretary at a Leadership Team meeting. The appointed individual will within five (5) days deliver a copy of the minutes to the Secretary.
- Treasurer: The Treasurer will
- maintain accurate records of all NGO’s financial transactions including but not limited to receipts, disbursements, and donations;
- deposit all moneys, drafts, checks, cash, and other valuables in the name and to the credit of NGO in the bank and depositories designated by the Leadership Team;
- disburse NGO funds as instructed by the President or Leadership Team;
- submit to the President or Leadership Team, upon request an account of all the financial transactions of NGO;
- exercise and perform such powers and duties as may be prescribed by the Leadership Team.
- Program Director: The Program Director will
- research and select the entertainment or speaker for each monthly meeting;
- research and select the location of the monthly trips;
- manage all aspects of the monthly trips;
- collect the deposit from members that sign up for the monthly trips and deliver money collected to the Treasurer;
- exercise and perform such powers and duties as may be prescribed by the Leadership Team.
- Membership Director: The Membership Director will
- maintain a current list of all NGO members with the following minimum information: Name, Cell Number, Email, Dues Paid by year;
- develop and maintain an outreach program for both active and inactive members;
- manage the NGO members & visitors sign in process, collect yearly dues and deliver money collected to the Treasurer;
- exercise and perform such powers and duties as may be prescribed by the Leadership Team.
- Members At Large: Members At Large will
- exercise and perform such powers and duties as may be prescribed by the Leadership Team.
General Provisions
- NGO’s fiscal year is twelve (12) months ending on the last day of December.
- Amendments to the Governance to adopt, amend, or repeal the Governance, will be adopted, amended, or repealed by a majority vote the Leadership Team.
- First Baptist Church of Newnan will conduct an audit of the financial records of NGO each year during the first week in January and report the results of the audit to the Leadership Team.
